Formation of a Branch
A branch, regulated by Section 7 of the Commercial Code (No. 513/1991 Coll.), is a subsidiary branch of a company owned by a foreign entity having a seat at the territory of the Slovak Republic. In order for a branch of a foreign entity to be able to carry out its business activities, it has to be registered in the Commercial Register. The entrepreneur´s name is considered to be the business name of such a branch.
Characteristics of a branch:
- It does not have its own legal personality
- business activities are carried out on behalf of the mother company
- legal actions on behalf of a branch are carried out by a manager registered in the Commercial Register
- an individual accounting entity, which is obliged to keep records by means of double-entry bookkeeping.
What is the advantage of establishing a branch of a foreign entity?
Registered capital does not need to be paid up in order to register a branch in the Commercial Register, for such capital has been paid up in a country of a registered office of the mother company.
