Foundation of a Limited Liability Company with Paid-up Registered Capital
Business in the form of a legal entity – a limited liability company – is currently the most advantageous and the most used way of doing business. However, an adopted amendment to the Commercial Code has made foundation of a limited liability company more burdensome in terms of actual payment of financial contribution to the bank account in a minimum amount of EUR 5,000.
Establishing a limited liability company is a “tailored” service for entrepreneurs who would like to implement their business ideas in successful activities, however they do not dispose with respective registered capital necessary to establish a company.
This service could be defined as a combination of favourite services of foundation of a limited liability company and sale of a ready-made company.
The procedure is the same as at purchase of a ready-made company with the only difference – what a company will look like, including its name and the line of business, will be chosen by you immediately upon foundation of the company itself.

Limited liability companies are established as non-payers of VAT, as commencing businesses have no legal obligation to be registered for VAT purposes. Establishing a limited liability company with our capital includes the following steps:
- Choice and selection of business name of a company, registered office and names of executive directors. Choice of a name not corresponding, whether optically or phonetically, to any other already registered name in the Commercial Register is an important factor. Company registered office can be at the address of business premises or a property whose owner grants a consent with establishing such a registered office.
- The second step is the choice of the lines of business, or trades in which you want to carry out your business activities also in the future.
- On the grounds of the provided information, we will subsequently prepare all deeds and documents and, following confirmation and signing at the registry office or notary office, send them to all respective authorities to obtain permits for a company to be successfully incorporated in the Commercial Register.
- After incorporation of a company in the Commercial Register, change in the Commercial Register will be carried out, and business share will be transferred to your name.
